Terms of sale
The commercial terms that apply to every quotation, order and invoice unless we have signed something different with you.

1. Quotations
Quotations are valid for seven days unless stated otherwise on the document, and are subject to the goods remaining unsold. Prices for memory and accelerators may be requoted within that period where the market moves materially, and we will tell you before you commit.
2. Orders
An order is accepted when we issue a proforma invoice or written order confirmation. Purchase orders that vary our quoted terms do not bind us unless we accept the variation in writing.
3. Condition and description
Every line is described as new and sealed, new in bulk or factory tray packing, or refurbished and tested. That description appears on the quotation and the invoice and forms part of the contract. Photographs of the actual units are available on request before payment.
4. Payment
New accounts pay in advance by bank transfer. Credit terms of 30 days may be extended after a reference check and are reviewed periodically. Invoices are raised in AED or USD. Overdue amounts carry interest at 1% per month.
5. Title and risk
Risk passes at the point specified by the agreed incoterm. Title in the goods remains with us until payment is received in full and cleared.
6. Delivery
Lead times are estimates made in good faith based on our stock position and supplier information. We are not liable for consequential loss arising from delay, including loss of profit, contract or project penalties.
7. Warranty
Manufacturer warranty applies where the item carries one and it is transferable. Where it does not, our limited warranty applies for the period stated on the invoice, between 90 days and 12 months. Our warranty covers repair, replacement or credit at our option, and nothing further.
8. Returns
Faulty goods must be reported within seven days of receipt and returned under a returns authorisation number in original packaging with all accessories. Goods ordered in error may be returned within 14 days subject to a restocking charge of up to 20%. Special order and indent items are not returnable.
9. Export compliance
You confirm that goods purchased will not be re-exported in breach of UAE export controls or applicable international sanctions. We screen orders and may decline or cancel an order on compliance grounds without liability.
10. Liability
Our total liability in respect of any order is limited to the invoice value of that order. We exclude liability for indirect and consequential loss to the maximum extent permitted by law. Nothing in these terms limits liability that cannot lawfully be limited.
11. Governing law
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the Dubai Courts have exclusive jurisdiction.
